Terms of Use

These Terms of Use ("Terms") govern your use of WaveSync ("Software"), a macOS application published by Evgeny Mukhin ("Developer", "we", "us"). By downloading, installing, subscribing to, or using the Software, you agree to these Terms. If you do not agree, do not install or use the Software.

1. Licence

Subject to these Terms and to an active subscription where one is required, the Developer grants you a limited, non-exclusive, non-transferable, and revocable licence to install and use the Software for your personal or commercial video production purposes.

You may not:

reverse engineer, decompile, or disassemble the Software, except where permitted by applicable law;
redistribute, sublicense, rent, lease, or sell the Software, or share your licence key, without prior written permission;
remove or modify any copyright, trademark, or proprietary notices;
circumvent, disable, or interfere with licence validation.

2. Subscriptions, Free Trial and Billing

The Software is offered on a subscription basis at $14 USD per month or $120 USD per year, as selected at checkout. Prices are shown at the time of purchase and may change for future billing periods with notice.

7-day free trial

New subscriptions include a 7-day free trial. You may cancel at any time during the trial and you will not be charged. If you do not cancel before the trial ends, the subscription begins and the first payment is taken automatically.

Renewal and cancellation

Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the period you have already paid for. You keep access until then.

Refunds

Because a full 7-day free trial is provided before any payment is taken, payments for a billing period that has begun are non-refundable, and no partial refunds are issued for unused time in a monthly period.

For annual subscriptions, if you request a refund during the annual term we may, at our discretion, refund the unused portion calculated as the amount paid less the months already used, charged at the standard monthly rate rather than the discounted annual rate.

Nothing in this section limits any refund or cancellation rights you have that cannot be waived under the law that applies to you as a consumer.

3. Licence Keys and Activations

An active subscription provides a licence key. The key may be activated on up to 2 computers at the same time. You can deactivate a computer from within the Software to free an activation slot when you change machines.

The Software validates the licence key over the internet. To keep the Software usable away from a network connection, a successful validation remains valid offline for 7 days before the Software needs to reach the licensing service again.

Your licence key is personal to you. Sharing it, or using it beyond the permitted number of activations, may result in the key being revoked.

When a subscription ends or is cancelled, the licence key stops validating and licensed features become unavailable. Files you have already created — exported XML timelines and your own media — remain yours and are unaffected.

4. Payments and Merchant of Record

Payments are processed by Lemon Squeezy, LLC, which acts as the merchant of record for all purchases of the Software. Lemon Squeezy handles the transaction, invoicing, and the collection and remittance of any applicable sales tax or VAT.

Your purchase is therefore also subject to Lemon Squeezy's own terms and privacy policy. Billing enquiries, invoices, payment methods, and subscription management are handled through Lemon Squeezy; we do not receive or store your full payment card details at any point.

5. Software Functionality

WaveSync synchronizes video and audio recordings by analyzing waveform data, and integrates with supported editing applications including Adobe Premiere Pro and DaVinci Resolve Studio.

All synchronization analysis is performed locally on your computer.

WaveSync does not modify, overwrite, or delete your original media files.

The Software may create project data, timelines, or temporary files necessary for synchronization. Automatic synchronization is not guaranteed to be correct for every clip; you are responsible for reviewing all synchronization results before using them in production.

6. Third-Party Software and Trademarks

WaveSync integrates with third-party applications, including Adobe Premiere Pro and DaVinci Resolve Studio, and exports formats read by Final Cut Pro and other editors.

All product names, logos, and brands are property of their respective owners. Adobe and Adobe Premiere Pro are trademarks of Adobe Inc.; Final Cut Pro and macOS are trademarks of Apple Inc.; DaVinci Resolve is a trademark of Blackmagic Design Pty. Ltd. These names and marks are used solely to describe compatibility. Their use does not imply any affiliation with, sponsorship by, or endorsement by those companies.

Compatibility with third-party software may change due to updates released by those companies. WaveSync does not guarantee uninterrupted compatibility with future versions of third-party applications.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

YOU USE THE SOFTWARE ENTIRELY AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DAMAGE TO MEDIA OR PROJECT FILES ARISING FROM THE USE OF OR INABILITY TO USE THE SOFTWARE.

IN NO EVENT SHALL THE DEVELOPER'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Your Responsibilities

You are solely responsible for:

maintaining backups of your media and project files;
verifying synchronization results before production use;
ensuring your use of WaveSync complies with applicable laws and with the licences of any third-party software you use it with.

10. Updates

The Software may receive updates that improve functionality, fix defects, or maintain compatibility. Updates are included for the duration of an active subscription. These Terms apply to all updates unless different terms are provided with them.

11. Termination

This licence terminates automatically if you materially breach these Terms. We may also suspend or terminate a licence key used in a way that breaches Section 1 or Section 3. On termination you must stop using the Software and delete all copies in your possession.

12. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Florida shall have jurisdiction over any dispute arising out of or relating to these Terms, except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings elsewhere.

13. Changes to These Terms

These Terms may be updated from time to time. Material changes affecting an active subscription will take effect at the start of your next billing period. Continued use of the Software after updated Terms take effect constitutes acceptance.
